SOCIALFORGE TERMS OF SERVICE Version: 1.0.2 Effective Date: 2025-11-11 Last Updated: 2025-11-11 Operator and Legal Entity ------------------------- The Social Forge ("we", "our", "us") is a digital platform owned and operated by M & W Logistics LLC d/b/a The Social Forge, a Virginia limited liability company ("Company"). These Terms of Service ("Terms") govern your access to and use of The Social Forge's products and services. DBA Disclosure Notice --------------------- The Social Forge is a registered trade name of M & W Logistics LLC, filed in the Commonwealth of Virginia. All references to "The Social Forge" in this document refer to M & W Logistics LLC d/b/a The Social Forge. 1. ACCEPTANCE OF TERMS By accessing or using The Social Forge platform ("Service"), you agree to be bound by these Terms, including the Acceptable Use Policy ("AUP"), the Data Processing Agreement ("DPA"), the Liability Protection Amendment, the AI Service Terms, and our Privacy Policy (collectively, the "Service Policies"). If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms and the incorporated Service Policies. 2. DESCRIPTION OF SERVICE The Social Forge provides a cloud-based social media management platform that enables users to: - Schedule and publish content to Facebook Pages, Instagram Business accounts, and YouTube. - Upload and manage media content. - Generate AI-powered captions and content suggestions. - Access analytics and performance insights. - Manage multiple social media accounts from a single dashboard. 3. ACCOUNT REGISTRATION AND SECURITY 3.1 Account Creation - You must provide accurate, complete, and current information during registration. - You must be at least 18 years old to use the Service. - You are responsible for maintaining the confidentiality of your account credentials. - You are responsible for all activities that occur under your account. 3.2 Account Security - You must notify us immediately of any unauthorized use of your account. - We reserve the right to suspend or terminate accounts that violate these Terms. - Multi-factor authentication may be required for certain account actions. 4. SUBSCRIPTION PLANS AND BILLING 4.1 Subscription Plans Our subscription plans, pricing, and features are described on our website at https://thesocialforge.net/pricing. By subscribing, you agree to pay all applicable fees for your selected plan in accordance with the billing terms displayed at checkout and these Terms of Service. 4.2 Payment Terms - Subscriptions are billed monthly or annually in advance. - Annual subscriptions may include discounted rates as indicated on our pricing page. - All fees are exclusive of applicable taxes. - Payments are processed via Stripe, and you agree to Stripe's Terms of Service. - AI credits or feature usage limits may reset monthly depending on your plan. By subscribing, you request immediate access to The Social Forge and acknowledge that this waives your 14-day right of withdrawal under EU consumer law. 4.3 Refunds and Credits - Failed posts due to platform errors will be automatically credited back to your account. - No refunds are provided once a billing cycle has begun. - Unused credits or features do not carry over to the next billing period. 5. USER CONTENT AND INTELLECTUAL PROPERTY 5.1 Your Content - You retain all ownership rights to content you upload to the Service. - You grant The Social Forge a limited, non-exclusive license to store, process, and display your content solely for providing the Service. - You represent and warrant that you have all necessary rights to the content you upload. 5.2 AI-Generated Content - Content generated using our AI features is provided "as is." - You are responsible for reviewing and approving all AI-generated content before publication. - AI suggestions are tools to assist, not replace, human judgment. - You retain ownership of AI-generated content created using your inputs. 5.3 Prohibited Content You agree not to upload or publish content that: - Infringes any intellectual property rights. - Contains hate speech, harassment, or discriminatory material. - Violates any applicable laws or regulations. - Violates the terms of service of connected social media platforms. - Contains malware, viruses, or harmful code. 6. THIRD-PARTY INTEGRATIONS 6.1 Social Media Platforms - Your use of Facebook, Instagram, and YouTube is subject to their respective terms of service. - YouTube integration is available for all tiers of customers. - We are not responsible for changes to third-party platform APIs or policies. - Account disconnections due to platform changes will be communicated promptly. 6.2 Platform Compliance - You must comply with all platform-specific rules and guidelines. - We reserve the right to reject content that violates platform policies. - Repeated violations may result in account suspension. 7. DATA PROCESSING AND PRIVACY 7.1 Data Collection - We process personal data in accordance with our Privacy Policy. - We implement industry-standard security measures to protect your data. - Data is stored in AWS facilities in the United States. 7.2 Analytics Data - We collect and process social media performance data to provide analytics. - Aggregated, anonymized data may be used to improve our Service. - You can export your analytics data at any time. 8. SERVICE LEVEL AND AVAILABILITY 8.1 Uptime Commitment - We strive for 99.5% uptime, excluding scheduled maintenance. - Scheduled posts are processed every 15 minutes. - Emergency maintenance will be communicated via email notifications. 8.2 Support - Email support is available for all plans. - Priority support for Business tier customers. - Response times: 24-48 hours for Standard, 12-24 hours for Business. 9. LIMITATIONS OF LIABILITY 9.1 Disclaimer of Warranties THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. 9.2 Limitation of Liability IN NO EVENT SHALL THE SOCIAL FORGE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES. 9.3 Maximum Liability OUR TOTAL LIABILITY SHALL NOT EXCEED THE LESSER OF THE FEES PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM OR $100 USD. 10. INDEMNIFICATION You agree to indemnify, defend, and hold harmless The Social Forge, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from: - Your use of the Service. - Your violation of these Terms. - Your violation of any third-party rights. - Content you post through the Service. 11. TERMINATION 11.1 Termination by You - You may cancel your subscription at any time through your account settings. - Cancellation takes effect at the end of the current billing period. - Data export must be requested within 30 days of cancellation. 11.2 Termination by Us We may suspend or terminate your account immediately for: - Violation of these Terms. - Non-payment of fees. - Fraudulent or illegal activity. - Excessive use of resources that impacts other users. 12. MODIFICATIONS TO TERMS - We reserve the right to modify these Terms at any time. - Material changes will be notified via email 30 days in advance. - Continued use after changes constitutes acceptance. - You may terminate your account if you disagree with updates. 13. DISPUTE RESOLUTION 13.1 Informal Resolution Before filing a claim, you agree to try to resolve disputes informally by contacting support@thesocialforge.net. 13.2 Arbitration Any disputes not resolved informally shall be resolved through binding arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association. Arbitration shall be conducted in the Commonwealth of Virginia, United States. 13.3 Governing Law These Terms are governed by the laws of the Commonwealth of Virginia, United States, without regard to conflict-of-law principles. 14. GENERAL PROVISIONS 14.1 Entire Agreement These Terms constitute the entire agreement between you and The Social Forge regarding the Service. 14.2 Severability If any provision is found unenforceable, the remaining provisions will continue in full force. 14.3 Assignment You may not assign these Terms without our prior written consent. We may assign our rights to any successor or acquirer. 14.4 No Waiver Our failure to enforce any provision shall not constitute a waiver of that provision. 15. ENHANCED LIABILITY PROTECTIONS 15.1 Additional Protections The SocialForge Liability Protection Amendment ("Amendment") is incorporated into these Terms by reference and provides additional important limitations on our liability. The Amendment is available at https://thesocialforge.net/legal/liability-amendment. 15.2 Key Protections Include - You are solely responsible for all content you publish. - AI features provide suggestions only, not professional advice. - No guarantee of optimal posting times or engagement. - Service provided "as is" without warranties. - Maximum liability limited to 3 months of fees or $100 USD. 15.3 Acceptance Required By using The Social Forge, you acknowledge that you have read and accepted both these Terms and the Liability Protection Amendment. In case of any conflict between these Terms and the Amendment, the Amendment prevails. 16. INCORPORATED POLICIES 16.1 Acceptable Use Policy (AUP) The SocialForge Acceptable Use Policy ("AUP") describes the rules and prohibited conduct for content, automation, and platform integrations. The AUP is incorporated into these Terms by reference and is available at https://thesocialforge.net/legal/acceptable-use-policy. 16.2 Data Processing Agreement (DPA) The SocialForge Data Processing Agreement ("DPA") governs our handling of personal data, including subprocessor disclosures, security controls, and customer instructions. The DPA is incorporated into these Terms by reference and is available at https://thesocialforge.net/legal/data-processing-agreement. 16.3 Updates to Incorporated Policies We may update the AUP, DPA, or other incorporated policies to address new regulatory requirements, platform changes, or security practices. When we do, we will publish the new version date on each document and provide reasonable notice. Your continued use of the Service after the effective date of an updated incorporated policy constitutes acceptance of that policy. 17.
